Some boys have a lot of fat around the penis, which gives it a "buried" look. as long as it can be exposed, there is no immediate worry. As they go through puberty, most of these fat goes away, and the appearance will improve on its own. As far as the testicle is concerned, it is a goodidea to keep an eye on it from time to time to make sure that it does not need any surgery to bring it down to the scrotum. The testicle will not work well unless in the scrotum, and also some of these testicles can develop cancer unless brought down and kept under close watch.
